Client Services Agreement
Effective date: October 8, 2026
Every client signs this agreement before paid work starts. This page is a copy for reference; the signed version also records your details, your package, your domain and your care plan choice.
1. Who this agreement is between
This agreement is between Theresa Anne Steiner, a sole proprietor doing business as BlueWeb, of 16060 Ventura Blvd, Suite #110, Encino, CA 91436 (“BlueWeb,” “we,” “us”), and the client named in the signed agreement (“you”). BlueWeb is run day to day by Eli Steiner, Founder & CEO, who signs for BlueWeb.
2. What we do, and when paid work starts
The free demo. Before you pay anything, we build a demo of your website from your “Your vision” answers and walk you through it, in person or over a video call (like Zoom). Seeing the demo is free and doesn’t commit you to anything. If you don’t go ahead, you owe us nothing, and the demo, its design and its code stay BlueWeb’s.
Saying yes. When you sign this agreement and pay the build fee, the project starts. Any changes you asked for at the walkthrough, and any new ones, are made only after that. We don’t make changes to a demo before you’ve paid.
What’s included. Your package is described on our Pricing page on the date you sign, plus anything written in the project notes of your signed agreement. Anything else is extra work (section 3).
What we need from you. Your text, logo, photos and any logins we ask for within 7 days of asking, and feedback within 5 business days of each review. If we’re waiting on you for more than 60 days, we can close the project and hand over (or launch) what’s finished, and the no-refund rule in section 3 still applies.
3. Fees, payment and refunds
| Package | Build fee (one time) | Care plan |
|---|---|---|
| The site itself | $1,495 | None |
| Built and launched | $1,995 | Essentials, $349 per quarter |
| Built, launched and kept current | $1,995 | Growth, $459 per quarter |
- When it’s due: the full build fee is due when you sign, before any paid work starts.
- How you pay: by card or bank transfer through Stripe. We never see or store your full card number.
- Extra work: anything outside your package is billed at $50 an hour. We’ll give you an estimate and get your OK in writing (email counts) before we start.
- Refunds: a sale is final once you pay, and there are no refunds. That’s why we build and show you the whole demo first. If BlueWeb ends a project before your site is done, we’ll refund the part of the build fee that covers work we didn’t do.
- Late payments: if a care plan payment fails and isn’t fixed within 14 days, we may pause your plan’s services until it’s paid.
- Taxes: prices don’t include sales tax. If any tax applies, it’s added to your invoice.
4. Care plans
Care plans come with Built and launched and with Built, launched and kept current. What each plan includes is listed on our Pricing page on the date you sign. Your quarterly report lives on a private, password-protected page on your site.
- Price: Essentials is $349 per quarter. Growth is $459 per quarter.
- First charge: shown in your signed agreement. If it’s less than a full quarter’s price, that’s because it’s prorated to line you up with our quarterly billing schedule.
- Renewal: your plan renews automatically every 3 months and is charged to your saved payment method until you cancel.
- Minimum: care plans have a 2-quarter minimum, so you’ll be billed for at least 2 quarters.
- How to cancel: after the minimum, cancel anytime online through your Stripe billing page (the link is in your welcome email), by emailing esteiner0525@gmail.com, or by calling 714-465-6002. Cancelling stops future charges. Your plan stays active until the end of the quarter you’ve paid for, and quarters already billed aren’t refunded.
- Edits: Growth includes up to 2 hours of content edits per quarter, and unused hours don’t roll over. Other edits, and the Essentials add-ons (seasonal refresh, Google Business Profile check-in), are $50 an hour.
- Price changes: we’ll email you at least 30 days before any price change, so you can cancel first.
- Reminders: we’ll send a receipt when you sign up and a reminder of these terms at least once a year.
5. Domain names
This section applies to Built and launched and to Built, launched and kept current. If you buy The site itself, you register, own and manage your own domain.
- BlueWeb owns the domain. We register your website’s domain name in BlueWeb’s registrar account, and BlueWeb is its registered owner (registrant). That’s true whether it’s a standard domain included in your plan or a custom or premium domain you pay for. Paying for a domain doesn’t make you its owner.
- Your right to use it. While your care plan is active and paid, you have the exclusive right to use the domain for your business website and for email on that domain if we set it up. We point it at your site and keep it renewed.
- What we won’t do with it. We hold the domain only to run your website. While this agreement is in effect we won’t point it anywhere else, sell it, or let anyone else use it. After it ends, we still won’t sell it or use it to impersonate your business, redirect your customers, or compete with you. It’s your business name, and we treat it that way.
- Costs. A standard domain (like a normal .com) is included in your care plan. A custom or premium domain is billed to you at cost for the purchase and each yearly renewal, and that charge isn’t refundable.
- If your plan ends. When your care plan ends for any reason, you can buy the domain from us for a transfer fee of $100, plus any amount you still owe us. Once that’s paid, we’ll transfer it to your own registrar account within 10 business days and help point it at your new host. From then on you’re its owner and you pay its renewals directly to your registrar. Registrar rules can block a move to a different registrar for 60 days after a domain is registered or changes owner; a move to your own account at the same registrar isn’t affected. If you don’t ask for a transfer within 60 days after your plan ends, we may let the domain expire, and we’ll email you at least 14 days before we do.
- Your information. You confirm that you have the right to use the business name in the domain, and that your use of the domain won’t infringe anyone’s trademark. If someone claims it does, section 8 (indemnity) applies.
- Domain email. If you use email on the domain, it depends on the domain staying active. Move your email before your plan ends if you don’t plan to buy the domain.
6. Who owns the website
- Your content stays yours. Your text, photos, logo and other materials you give us remain yours.
- The finished design. Once you’ve paid the build fee in full, you own the finished design and content of your website. Until then, it all belongs to BlueWeb.
- Our tools. Code, templates, components and tools we reuse across projects stay BlueWeb’s. You get a permanent, non-exclusive license to use them as part of your website.
- Third-party parts. Fonts, open-source code, stock photos and similar parts come with their own licenses, which we’ll follow and which you agree to as well.
- Hosting and code. For launched packages, we host your site on BlueWeb’s hosting account and keep its code in BlueWeb’s private code repository while your plan is active. When your plan ends and you’ve paid everything you owe, we’ll send you a copy of your site’s files on request.
- Credit and portfolio. Your site’s footer includes a small “Built by BlueWeb.ink” link. We may show your site in our portfolio and on social media. Tell us in writing if you’d rather we didn’t.
7. Your responsibilities, legal pages and accessibility
- Your materials. You confirm you have the rights to everything you give us (text, photos, logos, music, video) and that it’s accurate and lawful.
- Your business facts. Prices, hours, services, licenses and claims on your site come from you. You’re responsible for keeping them true.
- Legal pages. Your site launches with a Terms of Service, Privacy Policy, Cookie Policy and Accessibility statement that we draft from what you tell us. They’re starting drafts, not legal advice. You’re responsible for reviewing and approving them before launch, and for keeping them accurate as your business changes. We recommend having your own lawyer look them over.
- Accessibility. We build every site to meet WCAG 2.2 Level AA at launch. On both care plans, we make every change to your site ourselves and keep it at that standard for each one, and our regular accessibility scan checks for problems. On The site itself, keeping it accessible after handover is up to you. Tools or content anyone else adds are outside our control. No website can be guaranteed against legal claims.
- Analytics and cookies. If your site uses Google Analytics, it only loads after a visitor accepts the cookie notice. Don’t add tracking pixels, chat widgets or embedded feeds without telling us, since the privacy and cookie pages have to match what the site does.
- Third-party services. Hosting, the domain registrar, payment, booking and similar services have their own terms. We’re not responsible when they go down, change or charge their own fees.
- Confidentiality. We keep your logins and business information private and use them only to do the work. You’ll keep our pricing details and private work files private too.
8. Warranties, limits on liability and indemnity
- Bug fixes. We’ll fix bugs you report within 30 days after launch at no charge. After that, fixes are covered by your care plan or billed at $50 an hour.
- No promised results. We don’t promise any specific traffic, leads, sales or search rankings. Apart from the bug-fix promise above, the website and our services are provided “as is.”
- Limit on liability. To the extent the law allows, BlueWeb’s total liability for any claim under this agreement is limited to what you paid us in the 12 months before the claim. Neither of us is liable to the other for indirect or consequential losses, like lost profits or lost data. These limits don’t apply to fraud, intentional misconduct, or anything the law doesn’t allow to be limited.
- Your indemnity. You’ll cover BlueWeb’s reasonable costs, including legal fees, if someone makes a claim against us because of content or materials you provided, your business facts or legal pages you approved, your use of the domain or business name, or changes you or anyone you hire make to the site.
- Our indemnity. We’ll cover your reasonable costs if someone claims that code or design we created (not your materials or third-party parts) infringes their copyright.
9. Ending the agreement, disputes and the rest
- Ending a project. Either of us can end a project with written notice (email counts). If you end it, we hand over or launch what’s finished and the no-refund rule applies. If we end it before your site is done, we refund the unearned part of the build fee.
- Ending a care plan. Works as described in section 4. The domain then follows section 5.
- What lasts after the end. Sections 5 (domain names), 6 (ownership), 8 (liability and indemnity) and 9 still apply after this agreement ends.
- Independent business. BlueWeb is an independent business, not your employee. We may use team members or helpers, and we’re responsible for their work.
- Disputes. We’ll try to work things out by talking first. If that doesn’t work, California law applies, and any case goes to the state or federal courts in Los Angeles County, California.
- Changes. Changes to this agreement must be in writing and agreed by both of us; email counts.
- Whole agreement. This agreement, plus the package description on our Pricing page on the date you sign, is our whole agreement. It replaces anything said earlier. If it conflicts with our Terms of Service, this agreement wins. If one part can’t be enforced, the rest still applies.
- Electronic signatures. Signing electronically counts the same as signing on paper, and we’ll each keep a copy.
